Terms of Service

1. Agreement

By accessing or using StoreMind (“we”, “us”, “our”) you (“Client”) agree to these Terms. If you do not agree, do not use the service. These Terms supplement any signed Master Services Agreement (MSA); where they conflict, the MSA controls.

2. Service Description

StoreMind provides AI-powered automation services for Shopify merchants, including order monitoring, inventory alerts, customer engagement workflows, abandoned cart recovery, and reporting. The exact set of automations is configured during onboarding based on Client's priorities.

3. Subscription & Fees

StoreMind is sold as a one-time setup fee plus a recurring monthly subscription. Subscriptions auto-renew until cancelled. Cancel anytime via the billing portal — service continues through the end of the paid period. Setup fees are non-refundable once configuration work has begun.

4. 30-Day Free Demo

Eligible merchants may receive a 30-day free trial. No card is required to start. Automations run live during the trial. To continue past day 30, the merchant must subscribe via Stripe checkout. The 50% setup discount is contingent on subscribing before the trial expires.

5. Shopify Connection

Client grants StoreMind access to their Shopify store via custom app token, staff invite, or collaborator request. Client retains full ownership of their store, data, theme, and customer records. StoreMind does not transfer or share Shopify data with third parties beyond what is required to deliver the service (e.g., AI model providers under standard data processing terms).

6. Acceptable Use

Client agrees not to use StoreMind to: (a) violate any law; (b) send spam or unsolicited messaging outside of recipients who have opted into the merchant's communications; (c) attempt to reverse-engineer or resell the service; (d) bypass rate limits or interfere with the platform's integrity.

7. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own (no less than reasonable care). Client business data, customer lists, and store metrics are confidential and will not be disclosed publicly without consent.

8. AI Outputs

StoreMind uses third-party large language models to generate emails, recommendations, and summaries. Outputs are reviewed where indicated, but Client is responsible for final approval before any AI-generated content is sent to their customers under Client's brand. StoreMind makes no guarantee that AI outputs will be free of errors.

9. Service Levels

We target 99% monthly uptime for the StoreMind dashboard and automation runtime. Scheduled maintenance is announced in advance. Downstream service interruptions (Shopify, Stripe, AI providers) are not within our control.

10. Limitation of Liability

To the maximum extent permitted by law, StoreMind's total liability under these Terms is limited to the fees paid by Client in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including lost revenue or lost profits.

11. Termination

Either party may terminate for material breach not cured within 14 days of notice. On termination, StoreMind disconnects automations and provides Client with an export of stored data within 30 days upon request.

12. Changes

We may update these Terms with at least 30 days' notice for material changes. Continued use after the effective date constitutes acceptance.
